Blade Technology means all Technology owned by Occam and provided by Occam to Tellabs during the term of this Agreement that explicitly relates to Occam’s BLC 6000 one (1) gigabit ethernet switching and transport subsystems Technology or the manufacture, marketing, distribution, sale, or support of Occam’s BLC 6000 one (1) gigabit ethernet switching and transport subsystems Technology, including the original Technology Deliverables and updated Technology Deliverables provided by Occam.

  • This Section 12 states Customer’s sole remedies and Blade Technology Indemnitees’ sole liability and obligation for any actual, threatened, or alleged Actions that the Services and Blade Technology Materials or any subject matter under this Agreement infringes, misappropriates, or otherwise violates any intellectual property rights or any third party.

  • This Agreement confers right and remedies upon the Vallourec Oil and Gas France as stated in Section 10(b), Tenaris and/or its Affiliates as stated in Section 10(c), and Blade Technology Indemnitees as stated throughout the Agreement, and not any individual, person, or entity other than any combination of the parties, Vallourec Oil and Gas France, Tenaris and/or its Affiliates, or other Blade Technology Indemnitees have any rights or remedies under the Agreement.

  • Party A hereby represents and warrants as to itself that the shares transferred to Party B are genuine capital contributed by Party A to Zhongshan Mingyang Wind Power Blade Technology Co., Ltd and equity legally owned by Party A which Party A has the sole right to dispose of.
