Blackstone Transaction means the acquisition of 13,500,000 shares of common stock of ▇▇▇▇▇ USA previously held by Trizec ▇▇▇▇ Corporation and certain of its subsidiaries.

Each Blackstone Party has all requisite power and authority to execute and deliver this Agreement, the Blackstone Commitment Letter (in the case of the Blackstone Funds), and the Contracts attached hereto as Annexes A-K to which it is a party (the “Blackstone Transaction Documents”), to consummate the transactions contemplated by the Blackstone Transaction Documents to which it is a party and to perform all of the terms and conditions of the Blackstone Transaction Documents to be performed by it.
This Agreement and the other Blackstone Transaction Documents have been or will be at the Closing, as applicable, duly executed and delivered by each Blackstone Party that is a party thereto.
