The parties hereto agree to cooperate in good faith with each other and to use all reasonable efforts to arrange for the securitization contemplated by the Company Business Plan with respect to certain of the accounts receivable sold by FNBB, BKB-NH and ▇▇▇▇▇▇ to the CEBA Bank and Receivables LLC pursuant to the BKB Purchase Agreement, the BKB Overdue Receivables Purchase Agreement, the ▇▇▇▇▇▇ Purchase Agreement and the ▇▇▇▇▇▇ Overdue Receivables Purchase Agreement.
In consideration of the foregoing, BKB or such Affiliates of BKB as BKB may designate, shall receive an amount equal to the sum of all such credit card receivables sold to Receivables LLC pursuant to this Section 3.3, all as more fully set forth in the BKB Overdue Receivables Purchase Agreement.
