  • The role of Aspect and SMI with respect to the (i) development of modifications to the BIS Software to be incorporated in SMI's Module, (ii) the source code license for the FPGA and low level drivers which control the FPGA, and (iii) for the development of a Four Channel Digital Signal Converter, are set forth in detail in Schedule B.

  • Notwithstanding the preceding sentence, SMI will not be required to indemnify, defend or hold Aspect harmless from Losses which arise from the BIS Software, the Bispectral Index or other products provided by Aspect hereunder, except to the extent such Losses result from the use or sale of the BIS Software, Bispectral Index or other Aspect products in combination with products which are provided by parties other than Aspect.

  • In addition, Aspect may undertake any of the foregoing options (1)(2) and (3) if Aspect determines, in its reasonable opinion, that the BIS Software or Bispectral Index is likely to become the subject of an injunction preventing its use or sale as contemplated herein.

  • The limitations set forth in the foregoing clause (ii) shall only apply to the extent Aspect has made the most recently released version of the software available to SMI at no cost to SMI for incorporation in the BIS Software or Bispectral Index which are then in SMI's possession or have been previously distributed by SMI and the liability or obligation arises after Aspect makes such revised version available to SMI.

  • In consideration of this maintenance fee, Aspect shall provide SMI up to [**], shall reasonably assist SMI in debugging and utilizing the software and shall provide software updates to BIS Software.

  • Aspect shall provide to SMI the standard Aspect BIS Software (in binary form) along with suitable documentation in a form reasonably acceptable to SMI and sufficient to enable SMI to use the BIS Software for execution in the Module.

  • Upon NPC’s request, Comverge shall provide NPC with the data and information regarding the DLCS and EDLCS customers and devices from the BIS Software.

  • In order to operate the DLCS, Comverge shall implement (a) its own software, including the LMS Software for operating the Comverge designed DLCS equipment, the BIS Software for tracking customer installations and procedures, and the M&V Software, all of which shall be hosted and run at Comverge facilities as provided in Attachment 2F and (b) the Carrier Software for operating the Carrier Two-way thermostats, which shall be hosted and run at Carrier facilities.

  • Font Software means software or instructions which, when used on an appropriate device or devices, generates typeface and typographic designs and ornaments. Font Software shall include all Subsets and bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes upgrades or updates (each of which may be provided to you by Monotype in its sole discretion), related files, permitted modifications, permitted copies, and related documentation.

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Placement Services;

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • Tyler Software means our proprietary software, including any integrations, custom modifications, and/or other related interfaces identified in the Investment Summary and licensed by us to you through this Agreement. • “we”, “us”, “our” and similar terms mean ▇▇▇▇▇. • “you” and similar terms mean Client.
