During the Exclusivity Period, except with the prior written consent of the Bidder, Pushpay must not amend or waive (which, for clarity, includes communicating any intention not to enforce) the terms of any standstill agreement or arrangement between Pushpay and any person other than a member of the Bidder Group.
If ▇▇▇▇▇▇▇ has at any time in the 12 months before the date of this Agreement provided any confidential information to a person other than a member of the Bidder Group in connection with a Competing Proposal, Pushpay must, except to the extent that the Board considers it necessary to provide access to due diligence under clause 14.4 or 14.11, promptly request in writing the immediate return or destruction by that person of such confidential information.
Bidder shall, and shall procure that each member of the Wider Bidder Group shall, provide all reasonable assistance to any current and former directors and officers of the TClarke Group to the extent they need to make a claim against the D&O Insurance with respect to acts and omissions up to and including the Effective Date.
Such steps will include, but are not limited to, proposing, negotiating, offering and agreeing with the relevant Regulatory Authority at the earliest appropriate opportunity (and, in any event, before any applicable deadline) undertakings to effect (and if such offer is accepted, undertaking to effect), by agreement or otherwise, the sale, divesture, licencing or disposition of any necessary assets or businesses of the Bidder Group or the ADVANZ PHARMA Group.
The undertakings contained in clause 3 above are given until the earlier of the end of the relevant period specified in that clause or the relevant Target Group member ceasing to be part of the Bidder Group.
