In no event shall SENOMYX be entitled to receive a royalty on a Beverage for which it has already been paid a royalty on a Beverage Base used to manufacture that same Beverage.
Parent, the Purchaser and the Company shall use commercially reasonable efforts to negotiate in good faith and enter into, at the Closing, a Beverage Base Supply Agreement on terms consistent with Exhibit I and otherwise in form and substance satisfactory to Parent and the Company, acting reasonably (the “Beverage Base Supply Agreement”).

The manufacturing facilities and processes for manufacture of the Beverage Base shall be the confidential information of KO, for which Buyer shall not have a right to access.
The Beverage Base as supplied by KO shall comply with the specifications followed by KO as of the Closing (“Specifications”).
KO will be responsible for all packing and packaging of Beverage Base supplied to Buyer.
As used herein, “Cost” means the actual costs of manufacturing and supplying the Beverage Base hereunder, including costs of ingredients and other components, packing and packaging, manufacturing and processing, internal overhead and facility charges to the extent allocated to supply of the Beverage Base, freight, shipping and logistics, taxes, customs, and duties, and other similar costs.
