Bespoke Work definition

Bespoke Work means work carried out by Fluidvalves which is not an off the shelf Product but designed and manufactured to a particular specification agreed with the Customer.
Bespoke Work means Technical Services and the information, materials and deliverables created by LOTUS in connection with the provision of such Technical Services agreed by the Parties to be Bespoke Work pursuant to clause 13.10 of this Agreement;

Examples of Bespoke Work in a sentence

  • For the avoidance of doubt, Bespoke Work does not include any pre-existing intellectual property of Principle One or any modifications or derivatives of such pre-existing intellectual property not specifically commissioned by the Customer.

  • The Customer shall notify Principle One promptly of any unauthorised use or infringement of the Bespoke Work or Principle One’s pre-existing intellectual property rights.

  • It is understood that this licence does not allow Principle One to disclose to third parties or use any Confidential Information of the Customer embedded in the Bespoke Work without prior written consent of the Customer.

  • Where any Bespoke Work is undertaken by the Supplier, The Customer shall grant the Supplier such access to its premises, personnel, software and systems as the Supplier reasonably requires.

  • Subject to the terms and conditions of this Agreement, any and all intellectual property rights in the deliverables, designs, inventions, creations, data, or other work specifically created by Principle One for the Customer as part of the Services under this Agreement ("Bespoke Work") shall, upon creation and payment in full for the Services, be owned by the Customer.

  • The Customer acknowledges and agrees that the Software (including all and any modifications to it as a result of any Bespoke Work) and Documentation and all and any Intellectual Property Rights subsisting therein are, and shall at all times remain, the exclusive property of the Supplier and its licensors.

  • The Change Specification shall set out: the title of the Change; the originator and the date of the request or recommendation for the Change; the reason for the Change; the full details of the Change, including any specifications and any Bespoke Work entailed by the Change; the Fees which will be payable by the Customer in respect of the Change; a timetable for implementation, together with any proposals for acceptance of the Change; the impact, if any, of the Change on other aspects of this Agreement.

  • Use of Bespoke Work: Despite the foregoing, the Customer grants Principle One a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, display, perform, and distribute the Bespoke Work (or any part thereof) in connection with Principle One’s business operations, including the right to develop derivative works based upon the Bespoke Work.

  • The Customer may at the time of entering into this Agreement or at any time thereafter request the Supplier to carry out Bespoke Work.

Related to Bespoke Work

  • piece-work means any work the pay for which is estimated by the amount of work performed irrespective of the time occupied in its performance;

  • The Work means the work or works to be executed or done under this contract.

  • job work means any treatment or process undertaken by a person on goods belonging to another registered person and the expression “job worker” shall be construed accordingly;

  • Project Work means the work required to complete the Project.

  • Extra Work means any work which is determined by City to be necessary for the proper completion of the Project, but which the Parties did not reasonably anticipate would be necessary at the execution of this Agreement. Consultant shall not perform, nor be compensated for, Extra Work without written authorization from City’s Representative.
