Benefit Arrangements definition

Benefit Arrangements has the meaning set forth in Section 4.20(b).
Benefit Arrangements shall have the meaning set forth in Section 3.13(h).

  • Without limiting the generality of the foregoing, the Borrower shall cause all of its Plans and all Plans maintained by any member of the ERISA Group to be funded in accordance with the minimum funding requirements of ERISA and shall make, and cause each member of the ERISA Group to make, in a timely manner, all contributions due to Plans, Benefit Arrangements and Multiemployer Plans.

Benefit Arrangements means all life and health insurance, hospitalization, retirement, savings, bonus, deferred compensation, incentive compensation, severance pay, disability and fringe benefit plans, holiday or vacation pay, profit sharing, seniority, and other policies, practices, agreements or statements of terms and conditions providing employee or executive compensation or benefits to Transferred Employees or any of their dependents, maintained by Seller Companies, other than an Employee Plan.
Benefit Arrangements shall have the meaning ascribed to such term in Section 3.01(pp).
Benefit Arrangements means all life and health insurance, hospitalization, savings, bonus, deferred compensation, incentive compensation, severance pay, disability, and fringe benefit plans, individual employment and severance contracts and other policies and practices providing employee or executive compensation or benefits to Employees or their dependents, maintained or contributed to by any of the PRC Companies, other than Employee Benefit Plans. Section 1.6.

"Employees" mean all current employees, former employees and retired employees of the Company or any of its Subsidiaries, including employees on disability, layoff or leave status. "Controlled Group Liability" means any and all liabilities (other than such liabilities that arise solely out of, or relate solely to, the Company Plans) of the ERISA Affiliates (other than the Company and its Subsidiaries) under (i) Title IV of ERISA, (ii) Section 302 of ERISA, (iii) Sections 412 and 4971 of the Code, (iv) the continuation coverage requirements of Section 601 et seq. of ERISA and Section 4980B of the Code, and (v) corresponding or similar provisions of foreign laws or regulations.
Benefit Arrangements means all fringe benefit plans, holiday or vacation pay, profit sharing, incentive compensation, cafeteria plans, seniority and other policies, practices, agreements or statements of terms and conditions providing compensation or benefits to Transferred Employees or any of their dependents or beneficiaries, other than an Employee Plan.
