Benchmark Fees definition

Benchmark Fees has the meaning set forth in Section 4.04(3).

  • If, after giving effect to clause (1) or (2) of this Section, the Benchmark Fees still exceed the normalized fees for such Services plus [****] percent in the case of Section 4.05(1) or [****] percent in the case of Section 4.05(2) (the “Target Price”), Supplier shall provide Customer Party with a plan to further adjust the Fees to the Target Price within six months after the date of the Benchmark Results (the “Benchmarking Plan”).

Related to Benchmark Fees

  • Benchmark Gilt means, in respect of a Reset Period, such United Kingdom government security having a maturity date on or about the last day of such Reset Period as the Calculation Agent, with the advice of the Reference Banks, may determine to be appropriate;

  • Annual Fees means annual Trustee Fees and annual fees related to monitoring Tax Increment, in an amount not to exceed $10,000.

  • SOFR Benchmark means SOFR, provided that if a SOFR Benchmark Transition Event and its related SOFR Benchmark Replacement Date have occurred with respect to SOFR or such other then-current SOFR Benchmark, then "SOFR Benchmark" means the applicable SOFR Benchmark Replacement;

  • Benchmark Rate means, with respect to any Redemption Date, the rate per annum equal to the annual equivalent yield to maturity or interpolated maturity of the Comparable Benchmark Issue (as defined below), assuming a price for the Comparable Benchmark Issue (expressed as a percentage of its principal amount) equal to the Comparable Benchmark Price for such Redemption Date.

  • Membership Fees means the fees established pursuant to the By-Laws of the Union as the fees payable by the members of the Bargaining Unit, and shall not include any initiation fee, insurance premium, or any other levy.
