  • Unregistered Securities The meaning specified in Section 5.17(c).

  • euro unit means the currency unit of the Euro.

  • Registered Global Security means a Security evidencing all or a part of a series of Registered Securities, issued to the Depositary for such series in accordance with Section 2.04, and bearing the legend prescribed in Section 2.04.

  • Coupon means any interest coupon appertaining to a Bearer Security.

  • Registered Shares has the meaning set forth in Section 3.01(b).

  • Registered Security means any Security established pursuant to Section 201 which is registered in the Security Register.

  • Coupons means the bearer coupons relating to interest bearing Bearer Notes or, as the context may require, a specific number of them and includes any replacement Coupons issued pursuant to the Conditions;

  • Registered Equivalent Notes means, with respect to any notes originally issued in a Rule 144A or other private placement transaction under the Securities Act of 1933, substantially identical notes (having the same Guarantees) issued in a dollar-for-dollar exchange therefor pursuant to an exchange offer registered with the SEC.

  • Registered Securities will have the same meaning as set forth in the Purchase Agreement.

  • Registered Global Note means a Regulation S Global Note or a Rule 144A Global Note;

  • Global Preferred Security means a Preferred Securities Certificate evidencing ownership of Book-Entry Preferred Securities.

  • Definitive Registered Note means a certificated Note registered in the name of the Holder thereof that does not include the Global Notes Legend.

  • Registered nurse means a person who has been issued a certificate of registration as a registered nurse pursuant to the Health Professions Act and Regulations, and who holds an annual certificate.

  • Book-Entry Share has the meaning set forth in Section 2.01(c).
