BDIS definition

BDIS means the Bridge Data Information System including the Enterprise Asset Management foundation required to support BDIS and allow for future Asset Management expansion thereupon, developed for NYSDOT, inclusive of (unit price books, technical specifications, software, services, training, and support) to be provided or developed by Consultant, as more fully described in the Scope of Services annexed as Exhibit A hereof, together with the software licensing described in this Agreement.

  • Consultant warrants that, for 18 months from the acceptance of the system per the successful completion of the system acceptance, all the BDIS Software and Systems including all Service Components, Developed Software, and Consultant-Owned Software furnished hereunder, both as to each individual element and for the overall BDIS System shall be free from significant programming and operational errors which shall prevent it from operating in conformity with the standards set forth in this Agreement.

  • Consultant shall offer training in the use and implementation of the BDIS and any COTS, Developed or Consultant-Owned Software, to NYSDOT staff, consultant and other structure owners including, but not limited to, municipalities, state and local authorities, commissions, and railroads who will be using the System, in accordance with Section 3.3.8 of the RFP, and any other part of this Agreement.

  • All source and object codes for the Developed Software, i.e. all software custom developed for the BDIS application, shall be provided to NYSDOT during System Implementation to support the maintenance of the BDIS.

  • Consultant shall also be deemed in default if: (i) it fails to make reasonable progress as defined by NYSDOT on the Project in accordance with this Agreement; or (ii) the BDIS System does not perform in accordance with the requirements of this Agreement, notwithstanding Consultant’s remedial or maintenance efforts; or, (iii) other material violation of this Agreement that significantly endangers substantial performance of the Project.

  • CONSULTANT shall agree to execute and be bound by any non-disclosure or confidentiality agreements that NYSDOT or any other agency, consortia, corporation or other entity which requires such non-disclosure or confidentiality agreement to be executed before data, software, code or other information shall be provided to the BDIS System.

  • For highway bridges built before 1961, the NYSDOT shall refer to individual evaluations of National Register eligibility as determined in consultation with the NYSHPO for the statewide Historic Bridge Inventory, as recorded in the ▇▇▇▇ and the NYSDOT Bridge Data Information System (BDIS).

  • Consultant shall place a copy of the source codes of the Consultant-Owned Software and any proprietary or custom developed software (for the BDIS Project) -- or subcontractor-Owned Software into escrow with a licensed escrow agent subject to approval by NYSDOT.

  • Upon completion of FRANCHISEE'S training program, as described in paragraph 8 of this agreement, and within fifteen (15) days after BDI'S determination that the premises described herein are in suitable condition and comply with the standards and specifications prescribed by BDI, FRANCHISEE agrees to open the BDI LOCATION for business and commence the conduct of business.

  • Any and all obligations of FRANCHISEE hereunder shall be fully paid and satisfied prior to BDI'S approval of an assignment or transfer.

  • The termination of this Agreement by FRANCHISEE without complying with the foregoing requirement or for any reason other than breach of this Agreement by BDI and BDI'S failure to cure such breach within thirty (30) days after receipt of written notice thereof shall be deemed a termination by FRANCHISEE without cause.
