  • BMG shall ensure that in the event that (a) any change in ownership of BDIG, or (b) any sale, transfer, or assignment of responsibilities of BDIG under the Project is anticipated, BMG shall, at least 6 months prior to implementation of such plan, consult with ADB and afford ADB an adequate opportunity to comment on such proposal prior to taking action thereon.

  • BMG shall take and shall cause BDIG to take necessary actions to minimize the impact of interruptions to water supply, wastewater collection, gas, electricity and other utility services during the construction of the Project facilities.

  • BMG shall ensure and shall cause BDIG to ensure that a detailed analysis and calculation of design water levels accounting for the final design of Youjiang River embankment works and bridges will be conducted during the detailed engineering design stage.

  • The Borrower shall, through GZARG, cause BMG to ensure that, in the event that (a) any change in the ownership or control of BDIG; or (b) any sale, transfer, or assignment of responsibilities of BDIG under the Project is anticipated, the Borrower shall, through GZARG, cause BMG to consult with ADB at least 6 months prior to implementation of such plan, and afford ADB an adequate opportunity to comment on such proposal prior to taking action thereon.

  • Except as ADB may otherwise agree, and except as set forth in the paragraph below, the Borrower through GZARG, BMG and BDIG shall apply quality- and cost-based selection for selecting and engaging Consulting Services.

  • The Borrower shall through GZARG cause BMG to ensure that no material organizational changes (financial, operational or structural) to, nor material asset transfers to or from BDIG be formally approved or implemented without the prior approval of BMG and ADB if such changes would affect BDIG’s ability to perform its obligations under the ▇▇▇.

  • No later than 30 days after the completion of construction, BMG shall through BDIG establish an operations and maintenance plan which provides for the operation and maintenance of the Project facilities in accordance with national policies, standards and regulations, provides for future provision of services, and includes a public awareness program.

  • BMG shall carry out the Project and shall cause BDIG to carry out the Project in accordance with plans, design standards, specifications, work schedules and construction methods acceptable to ADB.
