BD Agreement means a definitive business development between the Company and one or more third parties, including but are not limited to, any licensing, collaboration, partnership, product development or strategic agreement or arrangement, in which the Company receives or is eligible to receive cash payment from such third parties, which may include but are not limited to, any upfront and milestone, licensing or service fees, royalty payments and other similar cash fees; provided that, (i) any such definitive business development agreement executed on or after the initial closing of an Exit Event will not be deemed a BD Agreement for the purposes of calculating the BD Cash Payment and therefore does not affect the Earned Cash Bonus that Employee is eligible for.

• All such materials or copies thereof and all tangible property of the Company in the custody or possession of the BD Sponsored FTE shall be delivered to the Company, upon the earlier of (i) a request by the Company or (ii) termination of his/her employment as a BD sponsored FTE under the BD Agreement.

• Client and Dalmore wish to amend and restate the Original BD Agreement in its entirety to add Phoenix Capital as a party and to make such other changes as they, along with Phoenix Capital, have deemed necessary or desirable.

• Notwithstanding the foregoing, if this Past Use Agreement has been entered into on or before September 30, 2017 and Releases have been obtained pursuant to a Corresponding BD Agreement for any Shipments prior to July 1, 2017 of UHD Players reported as BD Players then the scope of the Releases granted for such Shipments of UHD Players shall be deemed to be the same as if such Releases were obtained pursuant to this Past Use Agreement.

• The BD Sponsored FTE understands that this Agreement does not constitute a contract of employment and does not imply that his/her status as a BD Sponsored under the BD Agreement will continue for any period of time.
