BCC TRANSACTION means a transaction in which BCC Acquisition II, LLC ("BCC"), AEOW 96, LLC, Gerald L. Cohn Revocable Trust, and the Hannah S. and Samuel A. Cohn ▇▇▇▇▇▇▇▇ ▇▇▇▇▇ation (together with BCC, ▇▇▇ "▇▇▇ GROUP") ▇▇▇▇▇ ▇▇▇▇▇fer to MAG and Ocean Park the following securities: Convertible Subordinated Notes in the principal amount of at least $7,284,083 issued by the Company on December 15, 2004, 5,000 shares of Series G Stock, and warrants to purchase 5,255,837 shares of the Company's Common Stock.
