Parent may elect at any time upon written notice to the Administrative Agent to designate Boulder Brands Investments or any BBI Entity as “Subsidiaries” of the Parent for all purposes under this Agreement and each of the other Loan Documents so long as Boulder Brands Investments and the applicable BBI Entity, as the case may be, becomes a Borrower or Guarantor pursuant to Section 4.1 hereof.
As at immediately prior to Transaction Completion none of the statements set out in Schedule 6 has become untrue, incorrect or misleading in a respect that has, or would reasonably be expected to have, either alone, or when aggregated with all other untrue, incorrect or misleading statements, resulted in a material adverse effect to any of BBI or any BBI Implementation Agreement 88 BBI Entity.
