The Co-Issuers shall not appoint any Paying Agent that (x) is not, at the time of such appointment, a depository institution or trust company subject to supervision and examination by federal and/or state and/or national banking authorities and (y) for so long as DBRS is rating any Class of Notes then Outstanding, does not have a DBRS Rating of at least "BBB (high)" (or such lower rating for which a DBRS Rating Condition has been satisfied).
