Examples of Baytex Shares in a sentence

  • No fractional Baytex Shares will be issued in connection with the Arrangement.

  • Other than the Baytex Shares, there are no securities of Baytex outstanding which have the right to vote generally with Baytex Shareholders on any matter.

  • The Baytex Shares are registered pursuant to Section 12(b) of the U.S. Exchange Act, and Baytex is in compliance in all material respects with its obligations thereunder.

  • A Dissenting Shareholder who is, for any reason, not entitled to be paid the fair value of the holder's Raging River Shares shall be deemed to have participated in the Arrangement on the same basis as a non-dissenting holder of Raging River Shares, notwithstanding the provisions of Section 191 of the ABCA and, such Dissenting Shareholder shall receive Baytex Shares for such holder's Raging River Shares on the basis set forth in Subsection 3.1(e), notwithstanding the provisions of Section 191 of the ABCA.

  • No order, ruling or determination having the effect of suspending the sale of, or ceasing the trading of, Baytex Shares or any other securities of Baytex has been issued by any Governmental Authority and is continuing in effect and no proceedings for that purpose have been instituted, are pending or, to the knowledge of Baytex, are contemplated or threatened under any Applicable Laws or by any Governmental Authority.

  • No delisting, suspension of trading in or cease trading order with respect to Baytex Shares is pending or, to the knowledge of Baytex, threatened.

  • For greater certainty, all Raging River Shares held by a Deferred Plan will be deemed to receive Baytex Shares pursuant to Subsection 3.1(e) even if the Raging River Shareholder holding such Raging River Shares fails to deposit a validly completed and duly executed Shareholder Letter of Transmittal with the Depositary prior to the Election Deadline.

  • VMTP Shares means Variable Rate MuniFund Term Preferred Shares, $0.00001 par value per share, liquidation preference $100,000 per share plus an amount equal to accumulated but unpaid dividends thereon (whether or not earned or declared), of the Trust. The preferences, voting powers, restrictions, limitations as to dividends, qualifications, and terms and conditions of redemption of each series of VMTP Shares are set forth in the VMTP Shares Statement.
