Basic Energy Acquisition definition
Basic Energy Acquisition means the Acquisition by Basic Energy AcquisitionCo of certain assets of Basic Energy (“Basic Energy Assets”) pursuant to the Basic Energy Acquisition Documents.

Subject to the terms and conditions contained in this Agreement and the substantially contemporaneous satisfaction of the Basic Energy Acquisition Conditions, each Lender with a Term Loan B Commitment will severally (and not jointly) make a term loan (the “Term Loan B”) to Borrowers in an amount equal to such Lender’s Term Loan B Commitment.
The Term Loan B shall be advanced in a single borrowing on the date of the consummation of the Basic Energy Acquisition, and any principal amounts repaid in respect of the Term Loan B may not be reborrowed.
