Baseline Software definition

Baseline Software means the object code version of computer programs, and any related documentation (excluding maintenance diagnostics), provided by the Contractor to the Department (under reasonable and customary license terms and conditions acceptable to the Department, that is either (i) owned by the Contractor prior to the effective date of the contract, or (ii) owned by a third party, provided the Department has obtained the legal right from the owner or authorized licensor to license such baseline software. Baseline software also includes the source code version of baseline software where provided, and any modifications or enhancements to baseline software that are produced outside the contract. Baseline Software means, collectively, the software described in Exhibit J, as configured on the Effective Date using the applicable Pre-Configured SAP Template therefor and as the foregoing software may be Configured during the Term, together will all other interfaces, reports, conversions, forms, and other items included in Exhibit J.
Baseline Software means the most current release of Software, as of the applicable Date of Delivery, with the most current feature functionalities which have been paid for by the Purchaser. Baseline Software requirements are in addition to the requirements set forth in Clause 19(C) of this Agreement.

Examples of Baseline Software in a sentence

  • The warranty set forth in this Section 41.1 will be null and void if, notwithstanding any other provision of this EPN Agreement, anyone other than Ellucian (including the Partner and/or Partner Client) attempts to correct or modify any Baseline Software, or if the Partner Client does not implement changes that Ellucian provides to correct or improve the Baseline Software.

  • All Software Support Services will be part of the applicable Baseline Software and will be subject to all of the terms and conditions of the Agreement.

  • In this regard, to the extent that an agreement authorizing Ellucian to resell or sublicense a third party’s Baseline Software is terminated or expires prior to the Term, , then Ellucian’s obligation to provide Software Support Services to the Partner for that Baseline Software, and the Partner’s obligation to pay Ellucian for such Software Support Services for such Baseline Software, will automatically terminate simultaneously with the termination or expiration of the relevant agreement.

  • Ellucian’s obligation to provide Client with Software Support Services for Baseline Software owned by parties other than Ellucian is limited to providing Client with the software support services that the applicable third party owner provides to Ellucian for that Baseline Software.

  • Contractor acknowledges that, as of April 10, 2003, County acquired license rights to the Baseline Software, other than the XML Interface Software Module, and, as of September 3, 2003, County acquired license rights to the Customizations to the Trust Accounting Module, in each case, under the terms set forth in the Prior Purchase Orders, which terms are superseded by the terms of this License and this Agreement generally.

  • Prior to Final Acceptance, Contractor shall deliver to City the version of the Application Software Customizations that were used in the System that passed Final Acceptance Testing, together with complete Documentation that is sufficient to instruct City’s personnel on how to apply the Application Software Customizations and any necessary configurations in connection with the Baseline Software to obtain the System.

  • Contractor acknowledges that it has received full payment in respect of the number of licensed users specified in Paragraph 15.2.1 above, for the Baseline Software, other than the XML Interface Software Module, and full payment for the Customizations to the Trust Accounting Module, and County’s license thereto is fully-paid and irrevocable.

  • For purposes of Conditional Acceptance of the System as a whole, the System will be implemented with the most current version of the Baseline Software as of the Freeze Date.

  • Customer desires that SunGard Public Sector provide Maintenance and Enhancements for and new releases of the Baseline Software identified in Exhibit 1 on the terms and conditions contained in this Software Maintenance Supplement (the Maintenance Supplement), and for the Custom Modifications identified in Exhibit 1 on the terms and conditions of this Maintenance Supplement.

  • In the event of any change in any applicable Federal law, Federal rule or Federal regulation, Contractor promptly shall modify the Baseline Software, as necessary, at no additional cost to City provided City is current on maintenance, to ensure continued compliance therewith.


More Definitions of Baseline Software

Baseline Software means Contractor’s proprietary jail information management system computer programs as described more fully on Exhibit D (Description of Software) and including the following Modules: the Trust Accounting Module, the Inmate Information Module, the Classification Module, the Case Jacket Tracking Module, the Property Tracking Module, the Agency Billing Module, and the XML Interface Software Module, but, in respect of the Modules for purposes of this definition, without any Customizations or Interfaces thereto. Such Baseline Software is Licensed by County pursuant to this Agreement, and is and becomes a component of the System Software.
Baseline Software means the object code version of computer programs and any related documentation (excluding maintenance diagnostics), provided by the Contractor to the State (under reasonable and customary license terms and conditions acceptable to the Office, that is either (i) owned by the Contractor prior to the Effective Date, or (ii) owned by a third party, provided the Office has obtained the legal right from the original licensor to license such Baseline Software. Baseline Software also includes the source code version of Baseline Software where provided, and any modifications or enhancements to Baseline Software that are produced outside this Contract. Baseline Software also includes loadable micro code that enables the underlying equipment to function according to its published specifications.
Baseline Software or “AMS Advantage Software”: Shall mean the commercially available versions of the CGI proprietary software identified in Exhibit A to the License Agreement and any upgrades, enhancements, or new versions issued by Contractor from time to time hereafter prior to Project Completion and during the term of the Agreement.
Baseline Software means KHA’s KITS program, as described in Exhibit D (Description of Software). Such Baseline Software is Licensed by County pursuant to this Agreement, and is and becomes a component of the System Software.
