• Nor shall the Grant Agreement, the LBC, the Project, the creation and maintenance of New Jobs, or the maintenance of the Baseline Number of jobs (if required) be construed to make any employees, agents, or members of the Business or any third party into employees, agents, members, or officials of the Governmental Unit or the State or to make employees, agents, members, or officials of the Governmental Unit into employees, agents, members, or officials of the State.

• To the extent that the number of Calculated RSUs is less than the Baseline Number of Restricted Stock Units, the difference between the Baseline Number of Restricted Stock Units and the actual number of Calculated RSUs shall be immediately forfeited.
