Base Transaction definition

Base Transaction means each Transaction which provides a hedge in respect of the Base Rate Loans;

  • TxDOT shall pay Developer the amount of the toll less the interoperability fee (and less the Base Transaction Fee [or Cost Plus Transaction Fee, if applicable,] payable to TxDOT) (and subject to any adjustments provided for in Section 6(a)(ii)) for Interoperable Transactions.

  • Base Transaction Fees shall be the same for all User Classifications and for all Transactions in the same Service Year, regardless of the amount of the toll for such Transactions.

  • The Base Transaction Fees are invoiced in advance of each Billing Cycle, and the Incremental Transaction Fees, if any, are invoiced in arrears for the preceding Billing Cycle.

  • Company may withhold the Base Transaction Fee, Company Network Success Fee, and all transaction-based fees and commissions out of the amounts held in escrow upon Escrow Release.

  • In the event Developer transmits to TxDOT’s CSC Host any Transaction that is for an Exempt Vehicle or that is a Duplicate Transaction, TxDOT also may charge Developer the Transaction fees and charges otherwise applicable to non-Exempt vehicles or non- Duplicate Transactions (as the case may be) hereunder (including, but not limited to, Base Transaction Fees and Variable Transaction Fees [and Cost Plus Transaction Fees]).

  • For purposes of this Agreement, “Actual Base Transaction Incentive Plan Amount” means the aggregate amount actually paid by the Purchased Subsidiaries and their Subsidiaries to Participants as Initial Bonuses under (and within the meaning of) the Transaction Incentive Plan.

  • If the Expected Base Transaction Incentive Plan Amount is greater than the Actual Base Transaction Incentive Plan Amount to which employees of the Purchased Subsidiaries and their Subsidiaries become entitled and are paid in accordance with Section 4(a) of the Transaction Incentive Plan, Buyer shall pay the full amount of such excess to Seller in accordance with Section 1.04(c).

  • In the event Developer transmits to TxDOT’s CSC Host any Transaction that is for an Exempt Vehicle or that is a Duplicate Transaction, TxDOT also may charge Developer the Transaction fees and charges otherwise applicable to non-Exempt vehicles or non-Duplicate Transactions (as the case may be) hereunder (including, but not limited to, Base Transaction Fees and Variable Transaction Fees [and Cost Plus Transaction Fees, as applicable]).

  • If Developer does so, and if TxDOT reviews any such Transaction data, TxDOT may charge Developer the Transaction fees and charges otherwise applicable to non- emergency Transactions hereunder (including, but not limited to, Base Transaction Fees and Variable Transaction Fees [and Cost Plus Transaction Fees] [this will be added if the second pricing alternative is selected]).
