Base Incentive Payment: Participants will receive a base incentive payment when their performance is at or above the initiative defined benchmarks (see Appendix D) for the measures for which they are eligible.
No sooner than 9-months after the First Date of Operations, the Company may invoice the City for the 1st semi-annual Base Incentive Payment for payment year 1 as outlined in Exhibit C, “City Incentive Payment Schedule.” The Company may invoice the City for the 2nd semi-annual Base Incentive Payment for payment year 1 no sooner than 15 months after the First Date of Operations and only after the Company has paid the City the Guaranteed Revenue Gap Payment for payment year 1, if required.

Similarly, Eligible Recipient and Supplier may agree to establish a target for one or more metrics that is more aggressive than Historical Performance without a corresponding increase in the Base Incentive Payment in situations where Eligible Recipient and Supplier mutually agree that Historical Performance is not at a level that reflects acceptable revenue cycle performance.
