Base Enterprise Value definition
Base Enterprise Value shall initially be $300,000,000 and shall, in the event of a business disposition of Company assets (whether by stock transfer, asset sale, merger, or other transfer), be reduced by the amount of the Net Proceeds to be received by the Company in such business disposition. The payment under this Section 7.3 may be made to Mattel (i) by wire transfer of immediately available funds or (ii) by delivery of a Mattel Secured Note for an initial aggregate principal amount equal to the Enterprise Value Payment Amount.
Base Enterprise Value means Six Hundred Seventy-Five Million Dollars ($675,000,000).
