Base Bonus Amount definition

Base Bonus Amount means, with respect to each Participant for a Performance Period, a target bonus amount assigned to such Participant by the Committee for such Performance Period.

  • The Company shall pay Executive an annual performance cash bonus (the "Performance Bonus") for each fiscal year during the Term equal to (1) the lesser of 1% of the Company Pre-Tax Income (as defined below) and $400,000 (the "Base Bonus Amount"), (2) as adjusted by the Performance Bonus Adjustment (as defined below), if any.

  • Notwithstanding the foregoing, in no event shall the Base Bonus Amount be less than $1,250,000.

  • The Company shall pay to the Executive an annual bonus in accordance with the following formula: Bonus Amount = (Base Bonus Amount) x (Actual year-end pre-tax profit/Budgeted year-end pre-tax profit) where Base Bonus Amount is 50% of the applicable annual salary of the Executive and Budgeted year-end pre-tax profit is determined by the Board of Directors or, if formed, the Compensation Committee thereof.

  • The Company and the Executive presently intend that such performance criteria shall be comprised of several designated performance areas and two levels of performance in each area, and that, depending on the levels of performance achieved in the various areas, the actual amount of incentive cash compensation actually payable to the Executive for each fiscal year will be between zero and twice the Annual Base Bonus Amount.
