  • Reference is herein made to that certain Agreement and Plan of Merger dated as of August 14, 1998 (the "Merger Agreement"), by and among the Company, Future CAL-TEX Corporation, a Texas corporation, Bargo Energy Resource▇, ▇▇d., a Texas limited partnership, and SCL-CAL Company, a Texas corporation.
