Bank’s Equity definition

Bank’s Equity means capital of the Bank as specified in the consolidated statement of financial position or in the interim condensed consolidated statement of financial position of the Bank’s Financial Statements. Business has the meaning set forth in the Recitals hereof.

Examples of Bank’s Equity in a sentence

  • Holding Company shall issue replacement stock options for shares of its common stock so that appropriate adjustments to reflect this merger may be made to (i) the class and number of shares of common stock available for options under the Equity Plans and (ii) the class and number of shares and the price per share of the common stock subject to options outstanding under Bank’s Equity Plans.

  • Outstanding certificates representing shares of the common stock of the Bank awarded with such restrictions as set forth on the applicable award agreement pursuant to the Bank’s Equity Plans shall thereafter represent shares of the common stock of the Holding Company with such terms, conditions and restrictions as originally awarded by the Bank.

  • It is understood that, in addition to the Noncompetition Agreement mentioned in that Section of this Agreement titled “Confidentiality, Noncompetition, and Nondisclosure,” the terms of Bank’s Equity Participation Plan has provisions that pertain to the subjects of noncompetition and/or nonsolicitation and/or confidentiality.

  • Make, declare, pay or set aside for payment any dividend on or in respect of, or declare or make any distribution on any shares of its stock that would cause the Bank’s Equity Amount to be less then the Base Equity Amount as of the Determination Date or declare, pay or set aside for payment any dividend after the Determination Date, or directly or indirectly adjust, split, combine, redeem, reclassify, purchase or otherwise acquire, any shares of its stock.

  • It is understood that, in addition to the Noncompetition Agreement mentioned in that Section of this Agreement titled “Confidentiality, Noncompetition, and Nondisclosure,” the terms of (i) Bank’s Equity Participation Plan and of (ii) the Survivor Benefit Agreement between Bank and Employee have provisions that pertain to the subjects of noncompetition and/or nonsolicitation and/or confidentiality.

  • At all times the sum of Bank’s Equity Capital (Tier 1 Capital as defined by regulatory agencies) shall maintain a “well capitalized” status for regulatory purposes.

  • For the purposes of preparing the Estimated Adjusted Closing Book Value, Sellers will use the Savings Bank’s Equity as of the month-end immediately prior to the Closing Date.

  • It is understood that, in addition to the Noncompetition Agreement mentioned in Section 16 of this Agreement, the terms of (i) Bank’s Equity Participation Plan and of (ii) the Survivor Benefit Agreement between Bank and Employee have provisions that pertain to the subjects of noncompetition and/or nonsolicitation and/or confidentiality.
