If efforts that are (or otherwise would be) best efforts require a party to incur any material out-of-pocket costs (other than any cost otherwise required to be incurred by such party), then (i) such party will provide the other party or parties to this Agreement or such other agreement, as the case may be, written notice of the character and a good faith estimate of the amount of such costs, (ii) each notified party will promptly instruct the notifying party in writing whether or not such notified party desires that such costs be incurred at the expense of such notified party, (iii) if the notified party or parties so instruct(s), the notifying party will undertake such efforts and the notified party or parties will reimburse such party for such costs, and (iv) in the absence of instructions from a notified party to incur such costs, best efforts shall not require such costs.
