Bad Debt Reserves definition

Bad Debt Reserves has the meaning ascribed to it in Section 1.03(a).

  • When HBS, in its sole discretion, determines that it has reason to suspect that Customer's Chargebacks over the next eighteen month period will require funds greater than Customer has accumulated in its Bad Debt Reserves and its Termination Reserve, HBS may require such amount as it determines is reasonably needed to protect it from future Chargebacks.

  • Purchaser will sell, and Sellers agree to purchase, uncollected Closing Date Accounts Receivable specified by Purchaser, less the Bad Debt Reserves, for an aggregate purchase price equal to the total face amount of the uncollected Closing Date Accounts Receivable less the amount of any Bad Debt Reserves reserved with respect to such Closing Date Accounts Receivable.
