The equivalent price per Common Share paid by the Investor for the Common Shares acquired pursuant to the Backstop Facility, calculated based on the total Redemption Consideration paid by the Investor, is referred to herein as the "Backstop Price".
Based on the closing price of Deutsche Bank shares on the Frankfurt Stock Exchange (XETRA trading) on May 16, 2014, the Preliminary Backstop Price represents a discount to the theoretical ex rights price (the “TERP”), as calculated by the formula under (d) below, of 26.6 per cent.
