Backstop Commitment Letters definition

Backstop Commitment Letters means those certain Amended and Restated Chapter 11 Plan Backstop Commitment Letters (as amended, supplemented or otherwise modified from time to time prior to the date of this Agreement in accordance with the terms thereof and the Backstop Approval Order and as may be otherwise permitted under the Plan of Reorganization and the RSA) entered into with the investors party thereto, pursuant to which the Backstop Parties have separately committed to purchase, and will receive as consideration thereunder, shares of Common Stock, on the terms and subject to the conditions of the Backstop Commitment Letters and the Backstop Approval Order.
Backstop Commitment Letters means those certain letter agreements, as may be amended or modified from time to time in accordance with the terms thereof and the Backstop Approval Order, pursuant to which the Backstop Parties have agreed to purchase shares of New HoldCo Common Stock on the terms and subject to the conditions thereof.
Backstop Commitment Letters means the amended letter agreements dated around March 2, 2020, or such later date as may be applicable, pursuant to which the parties thereto (other than the Company) have agreed to purchase, on the terms and subject to the conditions thereof, shares of Common Stock to be issued as part of the Plan Funding.
