Background Software definition
Background Software means any Software developed by Recipient prior to the performance of this Agreement or outside the scope of work performed under this Agreement and is considered by Recipient to be proprietary.

As between the Parties, UBI shall at all times be and remain the sole owner of all UBI Background IP (including, without limitation, UBI Background Software), UBI Collaboration IP, and UBI Collaboration Software, and Siemens shall at all times be and remain the sole owner of all Siemens Background IP and Siemens Collaboration IP.
