Background Software definition

Background Software means any Software developed by Recipient prior to the performance of this Agreement or outside the scope of work performed under this Agreement and is considered by Recipient to be proprietary.

  • As between the Parties, UBI shall at all times be and remain the sole owner of all UBI Background IP (including, without limitation, UBI Background Software), UBI Collaboration IP, and UBI Collaboration Software, and Siemens shall at all times be and remain the sole owner of all Siemens Background IP and Siemens Collaboration IP.

  • As part of the Development Work, UBI will undertake to create one or more modified versions of the UBI Background Software that will be incorporated into the Reader Products (such modified versions, “UBI Collaboration Software”).


More Definitions of Background Software

Background Software means any Software developed by Performer at Private expense prior to the performance of this Agreement or outside the scope of work performed under this Agreement and is considered by Performer to be proprietary.

Such Background Software may include any modifications or derivatives funded exclusively at private expense to previously conceived, designed, developed, and resultant revisions to Computer Software.
