Baan Software definition

Baan Software means any enterprise software application of ------------- Baan, a Baan Affiliate or a third Party that is marketed under the Baan brand and all Intellectual Property Rights embodied therein. To the extent Licensed Software and Technology is embedded in Baan Software, such Licensed Software and Technology shall be and remain the property of TopTier.   • Pledged Securities All of the shares of capital stock of Baan Software N.V. and the certificates evidencing the same.

  • Baan shall own all right title and interest in and ------------- to all Baan Software and any Derivative Works thereof, including all Intellectual Property Rights therein and thereto.

  • Baan and its Affiliates shall have the right to market, distribute and sub-license Baan Software products incorporating and embedding the Licensed Software and Technology only under Baan's brand name and only to End-Users.

  • To the extent the surviving entity in such merger or acquisition wishes to extend the license rights to products in addition to those Baan Software products released and in use immediately prior to any such merger or acquisition, any such rights will be separately negotiated and are not included in the license grants of Section 2.1.

  • Subject to the terms and conditions --------------------------- hereof, TopTier hereby grants to Baan a perpetual, non-transferable, non- exclusive, royalty-free limited license, without the right to sublicense, to use internally and reproduce the Licensed Software and Technology solely for the purpose of performing development as required for the incorporation of the Licensed Software and Technology in Baan Software products, as permitted under this Agreement.

Related to Baan Software

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Placement Services;

  • System Software means machine-readable data and executable programs used to define the functionality of the HPS control system and standard hardware products, but does not include firmware, operating system, application software or other software products.

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Customer Software means software which is owned by or licensed to the Customer, including software which is or will be used by the Supplier for the purposes of providing the Goods and/or Services but excluding the Supplier Software;
