B2 Shares definition

B2 Shares means the convertible, redeemable B2 shares of £0.001 each in the capital of the Company.
B2 Shares means the 265 B2 ordinary shares of £0.001 each in the capital of the Company;
B2 Shares means the “B2" voting convertible non-redeemable preference shares of US$0.01 each in the Company;

  • The payments to the Company under the Master Distribution Plan for Class B or Class B2 Shares, as applicable, pursuant to the foregoing may be reduced or eliminated by action of the Board of Trustees of the Fund, effective upon notice to the Company of such action.

  • In consideration of the Company performing the Record Keeping Services and subject to the conditions and limitations provided below, the Fund agrees to pay the Company, quarterly, a record keeping fee at the annual rate of ------ % of the average daily net assets of the Class B Shares and, if applicable, of the Class B2 Shares of each Designated Portfolio held by the Company pursuant to this Agreement.

  • As a consequence, all such Warrants and B-1 Shares would become “Forfeited B-1 Shares and Warrants”; all Series B-2 Shares that such Purchaser had originally committed to purchase would become “Forfeited B-2 Shares”; and such investor would become a “Defaulting Purchaser” as such terms are defined above.

  • Notwithstanding the foregoing, the Company may not reject part of a Purchaser’s Purchaser Commitment in such a manner as to change the relative ratio of Series B-1 Shares and Series B-2 Shares to be purchased by such Purchaser from the ratio set forth in such Purchaser’s Schedule 1.
