Warrantholder also understands that any sale of (A) its rights hereunder to purchase Warrant Shares or (B) Warrant Shares issued or issuable hereunder which might be made by it in reliance upon Rule 144 under the Act may be made only in accordance with the terms and conditions of that Rule.
The A Warrant and the B Warrant are collectively referred to as the “Warrants”.
Each Warrant shall be evidenced by a warrant certificate, which shall be substantially in the form attached to this Agreement as Exhibit B ("Warrant Certificate").
Each Class B Warrant represented hereby is exercisable at the option of the Registered Holder, but no fractional shares of Common Stock will be issued.
This Amendment shall not constitute or operate as a waiver of, or estoppel with respect to, any provisions of the Class B Warrant by either party hereto.

Except as specifically amended by this Amendment, all other provisions of the Class B Warrant shall remain in full force and effect.
In the event of any conflict between the provisions of this Amendment and the Class B Warrant, the provisions of this Amendment shall govern.
Upon exercise of a Class A Warrant, the holder of the Warrant shall receive one Warrant Share and Class B Warrant.
