B Units definition

B Units issued by VISA in exchange for the trusted SHARES, as well as those issued free of charge for any operation or that are issued in right of first refusal for capital stock increase and that correspond to the referred SHARES, in any event with all property and corporate rights.

B Units has the meaning set forth in Section 3.1(b).

B Units means the "Class B Common Partnership Units," as defined and having the rights, privileges, qualifications, limitations and other characteristics set forth in the Operating Partnership Agreement, to be issued by Operating Partnership pursuant to this Agreement to Messrs. X. Xxxxxxx and X. Xxxxxxx in the amounts set forth on Exhibit D, as such amounts shall be decreased for Messrs. X. Xxxxxxx and X. Xxxxxxx by the same amount as the amount by which their respective Common Units will be increased to ensure each such individual is issued the Maximum Number of Common Units (and no more), which calculation shall be made as of the Closing Date.

Examples of B Units in a sentence

• If a holder of Class B Units fails to make such an election, such holder (and any of its transferees) shall receive upon conversion of each Class B Unit held by him, her or it (or by any of his, her or its transferees) the same kind and amount of consideration that a holder of an OP Unit would receive if such OP Unit holder failed to make such an election.

• Except as set forth in this Article 16, Class B Units shall have the same rights, privileges and preferences as the OP Units.

• Each holder of Class B Units covenants and agrees with the Partnership that all Unrestricted Class B Units to be converted pursuant to this Section 16.4 shall be free and clear of all liens.

• The conversion of Unrestricted Class B Units shall occur automatically after the close of business on the applicable Conversion Date without any action on the part of such holder of Unrestricted Class B Units, as of which time such holder of Unrestricted Class B Units shall be credited on the books and records of the Partnership with the issuance as of the opening of business on the next day of the number of OP Units issuable upon such conversion.

• Any allocations made pursuant to the first sentence of this subparagraph 1(c)(ii) shall be made among the holders of Class B Units in proportion to the amounts required to be allocated to each under this subparagraph 1(c)(ii).

More Definitions of B Units

B Units means the Units issued to NetREIT as General Partner pursuant to Section 4.02 and as a Limited Partner pursuant to Section 4.03(b). The B Units shall have the same rights, preferences and privileges as the A Units except as expressly stated in this Agreement.

B Units are those units which were launched on 28 January 2005. The B Units will be invoiced separately by the Manager in respect of any management fee due. The B Units will only be offered to investors who are clients of the Manager or its affiliates and have a discretionary management agreement covering the charging structure relevant to the Holders' investments in such units. B Units will bear their pro-rata share of the fees payable to the Administrator, Trustee and any other additional costs.

B Units. As specified by the Depositor

B Units means the B Units being offered for sale under this Prospectus at a price of $500 per B Unit, each of which consists of 1,000 Common Shares and 1,000 Warrants.

B Units shall have the meaning set forth in Section 2.02. "Broker" shall have the meaning set forth in Section 13.01. (3)

B Units means “Class B Common Partnership Units,” as defined and described in the Partnership Agreement.
