B Bonus definition

B Bonus means the bonus (or other sums to be paid by way of indemnity) paid or to be paid by the Company to the Vendors of B Shares on or following Completion by reference to taxation payable by such Vendors relating to their subscription for B Shares;

Examples of B Bonus in a sentence

  • If Employee’s employment with the Company is terminated, in addition to any severance to which Employee is entitled in accordance with Section 3(c), Employee shall be entitled to (A) any accrued but unpaid Base Salary through the date of termination, (B) Bonus proportional to the amount of time remaining in the current year of the Term as determined by the Board in its reasonable discretion, and (C) unreimbursed business expenses that are reimbursable in accordance with Section 4(b).

  • The Series B Bonus Shares will be subject to standard market stand-off provisions.

  • A severance benefit in an amount equal to one time the sum of (A) Base Salary (as in effect immediately prior to his Termination Date), plus (B) Bonus (in an amount equal to the current annual Target Bonus for the full year in which the Termination Date occurred or if no Target Bonus has been established then the most recent Bonus paid), which benefit shall be paid in accordance with Section 4(a), subject to Section 20.

  • ASA reserves the right to monitor and/or restrict access as deemed appropriate.

  • The Series B Bonus Shares will have a right of repurchase in favor of the Company (for no consideration) (the “Repurchase Right”) that lapses and may not be exercised with respect to 1/48th of such shares per month over a period of four (4) years commencing upon the Commencement Date, so long as you remain continuously employed by the Company through each applicable lapse date and subject to the establishment of your permanent residence in Southern California by not later than August 31, 2011.

  • In addition to any other limitation on transfer created by applicable securities laws, you will be prohibited from assigning, hypothecating, donating, encumbering or otherwise disposing of any interest in any portion of the Series B Bonus Shares while such portion of the shares are subject to the Repurchase Right.

  • Each of Bonus A, Bonus B, Bonus C and Bonus D shall become time-based vested in five (5) equal installments (each with respect to 20% of the total amount of such Bonus) on each of November 16, 2010, November 16, 2011, November 16, 2012, November 16, 2013 and November 16, 2014, subject, in each case, to the Executive remaining continuously employed by the Company until each applicable vesting date and further subject, in the case of Bonus B, Bonus C and Bonus D, to Section 2(b)(vii) below.
