B-3 Certificate definition

B-3 Certificate. Any one of the Certificates executed by the Trustee and authenticated by the Trustee or the Authenticating Agent in substantially the form set forth in Exhibit II-B-3 and Exhibit C hereto. Class II-B-3 Certificateholder: The registered holder of a Class II-B-3 Certificate.

  • No transfer of a Class B-3 Certificate will be made unless such transfer is exempt from the registration requirements of the Securities Act of 1933, as amended, and any applicable state securities laws or is made in accordance with said Act and laws.

  • This Class B-3 Certificate does not evidence an obligation of, or an interest in, and is not guaranteed by the Depositor, the Servicer, or the Trustee referred to below or any of their respective affiliates.

  • Each owner of record of a Class B-3 Certificate will be entitled to receive such owner’s Percentage Interest in the amounts distributed on such Distribution Date to the owners of the Class B-3 Certificates.

  • The Class A-IO, Class B-1, Class B-2 and Class B-3 Certificates that have not been the subject of an ERISA-Qualifying Underwriting, the Class B-4, Class B-5, Class R and Class LT-R Certificates and any Class A-1, Class A-2 or Class A-3 Certificate (or Class A-IO, Class B-1, Class B-2 or Class B-3 Certificate that has been underwritten) that does not satisfy the applicable rating requirement under the Underwriter’s Exemption.

  • The Class B-3 Certificate (other than the rights in interest rate cap contracts described in this Section 2.07) shall be designated as the regular interest in the B3 REMIC and the Class B3R Interest shall be designated as the sole class of residual interest in the B3 REMIC.
