  • The undersigned hereby agree that this statement on Schedule 13D with respect to the beneficial ownership of shares of Common Stock of AXSYS Technologies, Inc.

  • AXSYS shall be responsible for placement, monitoring and removal of environmental and equipment alarms used to service AXSYS’s Collocation Space.

  • AXSYS customers may use the same dialing arrangements as BellSouth customers, but obtain an AXSYS branded service.

  • BellSouth shall provide interconnection ordering and provisioning services to AXSYS that are equal to the ordering and provisioning services BellSouth provides to itself.

  • AXSYS may elect to be present whenever BellSouth performs work in the Collocation Space.
