The Award is subject to the vesting terms set forth in the Summary of Award Terms above, except as may otherwise be provided in this Award Agreement or in the Plan.
No funds obtained through this Agreement may be used to traffic in persons as defined in DOL Standard Federal Award Terms & Conditions found at ▇▇▇▇://▇▇▇▇▇▇.▇▇▇/grants/resources.cfm.
The use of SLFRF funds must comply with U.S. Department of the Treasury Coronavirus State Fiscal Recovery Fund Award Terms and Conditions, signed by the State of Idaho on May 10, 2021; specified provisions of the Uniform Administrative Requirements, Cost Principles, and Audit Requirements for Federal Awards, 2 C.F.R. Part 200; and other requirements as specified by the U.S. Department of the Treasury.
The Grantee acknowledges that it is responsible for compliance with this Agreement, all state and federal laws and regulations applicable to the Grant funding source and the Project, the Final Rule and the terms and conditions set forth in U.S. Department of the Treasury Coronavirus Local Fiscal Recovery Fund Award Terms and Conditions, attached hereto as Exhibit “A”.
When award execution does not allow for delay, TWC may base the Special Federal Award Terms and Conditions for a grant award on the most recent prior Federal Award Terms and Conditions available, and later amend the TWC grant award when updated Federal terms are available.

The Company has issued to you the Performance Stock Units set forth above in the Award Agreement, effective on the Grant Date, and subject to the terms and conditions set forth in the Award Agreement and the Performance Stock Unit Award Terms and Conditions (together, the “Award Documents”), and the Plan (which is incorporated herein by reference).
In some cases, Federal grant funds become available to the Texas Workforce Commission (TWC) for award before TWC obtains the associated Federal Award Terms for the monies.
Recipients should ensure they remain in compliance with all Award Terms and Conditions.
If the funding for this Contract work should fall under the Substance Abuse and Mental Health Services Administration (SAMHSA) Award Terms outlined below the Contractor must comply with the requirements of those terms as they would apply to HCA.
