AVT Connect Technology definition
AVT Connect Technology means AVT Connect‟ proprietary technology, including the Services, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), network designs, trade secrets and any related intellectual property rights throughout the world and also including any derivatives, improvements, enhancements or extensions of AVT Connect technology conceived, reduced to practice, or developed during the Term of this Agreement by either Party that are not uniquely applicable to Client (“Derivative Works”). Derivative Works shall not include Client/End User Materials.

As between Client and AVT Connect, and subject only to the licenses expressly granted by AVT Connect to Client hereunder, AVT Connect retains all right, title, and license to all intellectual property rights associated with the AVT Connect Services and AVT Connect Technology, including any intellectual property developed during the course of this Agreement.
