Average Valuation Dates means The Initial Valuation Date, April 23, 2021, May 26, 2021, June 24, 2021, July 26, 2021 and August 26, 2021, provided that if any such day is not an Exchange Business Day for a Share then the Average Valuation Date will be the first succeeding day that is an Exchange Business Day for that Share, subject to the occurrence of a Market Disruption Event.   • Applicable Measurement Period means the most recently completed four consecutive fiscal quarters of the Issuer immediately preceding the Applicable Calculation Date for which internal financial statements are available.

You may waive all or a portion of your fees provided for hereunder and such waiver shall be treated as a reduction in purchase price of your services. You shall be contractually bound hereunder by the terms of any publicly announced waiver of your fee, or any limitation of the Fund's expenses, as if such waiver or limitation were fully set forth herein.

  • Average Closing Price means the average of the closing market prices of a Share over the last five (5) Market Days on which transactions in the Shares were recorded on the SGX-ST immediately preceding the date of the Market Purchase by the Company or, as the case may be, the date of the making of the offer pursuant to the Off-Market Purchase, and deemed to be adjusted for any corporate action that occurs after the relevant five-day period; and
