Merchant acknowledges that any actual, material Monthly Volume or any actual, material Average Ticket Amount in excess of such estimates will cause Service Providers to review Merchant’s file and may result in the delay of transmission of funds and interruption of service.
Service Providers may withhold the payment of any amounts otherwise payable hereunder if the actual Monthly Volume and/or Average Ticket Amount materially exceed such estimates.
