Average Monthly Variable Compensation definition
Average Monthly Variable Compensation means the Variable Compensation received by the Executive during the 12 month period preceding the Executive’s termination divided by 12. The amounts set forth in this Section 2.3(b) shall be payable in accordance with the Company’s customary payroll practices as in effect from time to time, and otherwise in accordance with the Company’s policies that would otherwise apply to the payment of the Base Salary; provided all such rights to any payments shall cease in the event the Company determines in good faith that the Executive has violated any Restrictive Covenants (as defined below). The Company shall, except as required by law, have no other obligations hereunder or otherwise with respect to the Executive’s employment from and after the termination date, and the Company shall continue to have all other rights available hereunder (including, without limitation, all rights under the Restrictive Covenants at law or in equity).
