Average Daily Census definition

Average Daily Census means the number determined by dividing the total resident days for a Facility during a specific month by the actual number of days contained in that month.
Average Daily Census or "ADC" means over a 12-month period the average number of inpatients receiving service on any given day.
Average Daily Census means the number of days of inpatient acute care provided in licensed acute care beds in a given year divided by 365 days.

More Definitions of Average Daily Census

Average Daily Census means total patient days for a given calendar year divided by the number of days in the year.
Average Daily Census means for a period the number obtained by adding the number of Residents in the Veterans Home for each day of a defined period and dividing this sum by the number of days in the period.

If the Volume Weighted Average Price cannot be calculated for such security on such date in the manner provided above, the volume weighted average price shall be the fair market value as mutually determined by the Company and the Holders of a majority in interest of the Warrants being Exercised for which the calculation of the volume weighted average price is required in order to determine the Exercise Price of such Warrants. “Trading Day” shall mean any day on which the Common Stock is traded for any period on the OTCBB, NASDAQ, or on the principal securities exchange or other securities market on which the Common Stock is then being traded. For purposes of Rule 144 and sub-section (d)(3)(ii) thereof, it is intended, understood and acknowledged that the Common Stock issuable upon Exercise of this Warrant in a Cashless Exercise transaction shall be deemed to have been acquired at the time this Warrant was issued.
