The Committee may adjust the calculation of Average Annual Return on Invested Capital applicable to the Award Units under the circumstances, for the purpose and to the extent contemplated by Section 3.2(c) of the Plan.

If the Average Annual Return on Invested Capital for the Performance Period is below the Threshold Level, no Award Units will Vest.
The Performance Measure under this Award Agreement shall be the Simple Average Annual Return on Net Assets as derived from the consolidated financial statements of the Company for the Performance Period as defined above.
The Performance Measures under this Award Agreement shall be the Simple Average Annual Return on Net Assets and the Simple Average Annual Sales Growth as further defined in Exhibit A.
Average Annual Return On Net Assets Employed shall be equal to the sum of the Return On Net Assets Employed (“▇▇▇▇▇”) for each fiscal year of the Company during the Measurement Period divided by three.
