Authorised Offeror means an offeror that is authorized to sell and/or place Securities.

  • None of the Issuer or the Dealer makes any representation as to the compliance by the Authorised Offeror with any applicable conduct of business rules or other applicable regulatory or securities law requirements in relation to the offer of the Notes and has any responsibility or liability for the actions of the Authorised Offeror.

  • Whether or not the Authorised Offeror is described as acting in association with the Issuer, the Issuer’s only relationship is with the Managers and the Issuer has no relationship with or obligation to, nor shall it have any relationship with or obligation to, an Investor, save as may arise under any applicable law or regulation.

  • The Terms and Conditions of the Non-exempt Offer shall be published by that Authorised Offeror on its website at the relevant time.
