Authenticating means any Person authorized by the Trustee pursuant to Section 614 to act on behalf of the Trustee to authenticate Securities of one or more series.

  • No successor Authenticating Agent shall be appointed unless eligible under the provisions of this Section.

  • Any successor Authenticating Agent upon acceptance of its appointment hereunder shall become vested with all the rights, powers and duties of its predecessor hereunder, with like effect as if originally named as an Authenticating Agent.

  • If at any time an Authenticating Agent shall cease to be eligible in accordance with the provisions of this Section, such Authenticating Agent shall resign immediately in the manner and with the effect specified in this Section.

  • Wherever reference is made in this Indenture to the authentication and delivery of Securities by the Trustee or the Trustee’s certificate of authentication, such reference shall be deemed to include authentication and delivery on behalf of the Trustee by an Authenticating Agent and a certificate of authentication executed on behalf of the Trustee by an Authenticating Agent.

  • An Authenticating Agent may resign at any time by giving written notice thereof to the Trustee and to the Company.

  • Neither the Trustee nor any Authenticating Agent shall be accountable for the use or application by the Company of Securities or the proceeds thereof.

  • Any Authenticating Agent may at any time resign by giving written notice of resignation to the Trustee and to the Company.

  • Any successor Authenticating Agent, upon acceptance of its appointment hereunder, shall become vested with all the rights, powers and duties of its predecessor hereunder as if originally named as an Authenticating Agent pursuant hereto.

  • Strong Customer Authentication means an authentication based on the use of two or more elements categorised as knowledge (something only the user knows), possession (something only the user possesses) and inherence (something the user is) that are independent, in that the breach of one does not compromise the reliability of the others, and is designed in such a way as to protect the confidentiality of the authentication data;

  • Successor Delaware Trustee has the meaning set forth in Section 4.5(e).

  • Trust Registrar have the meanings stated in Section 3.2 of the Trust Agreement.

  • Certificate Registrar means the register mentioned and the registrar appointed pursuant to Section 3.4.

  • Successor Preferred Guarantee Trustee means a successor Preferred Guarantee Trustee possessing the qualifications to act as Preferred Guarantee Trustee under Section 4.1.

  • Security Registrar have the respective meanings specified in Section 305.

  • Note Registrar have the respective meanings set forth in Section 2.4 of the Indenture.

  • Paying Agent/Registrar means initially the Trustee, or any successor thereto as provided in this Indenture.
