Australian Subsidiary means any Subsidiary that is organized under the laws of Australia or any territory thereof.
Australian Dollar means the lawful currency of Australia.
Australian Dollars means the lawful currency of Australia.
Australian Corporations Act means the Corporations Xxx 0000 (Cth) of Australia.
Australian Standard means a standard published by Standards Australia.
Australian Tax Act means the Australian Income Tax Assessment Xxx 0000 (Cth) or the Australian Income Tax Assessment Xxx 0000 (Cth) (as applicable)).
Canadian Loan Party means any Loan Party organized under the laws of Canada or any province or territory thereof.
Canadian Loans means, individually and collectively as the context may require, the Canadian Revolving Loans, the Canadian Swingline Loans, the Canadian Overadvances and the Canadian Protective Advances.
Canadian Loan Parties means the Canadian Borrower and the Canadian Guarantors.
Australia means the Commonwealth of Australia.
Australian Consumer Law means the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth).
UK Loan Party means any Loan Party incorporated under the laws of England and Wales.
Canadian Loan means an extension of credit by a Canadian Lender to the Canadian Borrower (to the extent based on Canadian Availability) under Article II.
UK means the United Kingdom of Great Britain and Northern Ireland.
Canadian Credit Party means Borrower and each other Credit Party that (i) is organized under the laws of Canada or any province or territory thereof, (ii) carries on business in Canada, or (iii) has any title or interest in or to material property in Canada.
UK CRR means Regulation (EU) No. 575/2013 on prudential requirements for credit institutions and investment firms of the European Parliament and of the Council of 26 June 2013, as amended or supplemented, as it forms part of domestic law in the UK by virtue of the EUWA.
New Zealand means the territory of New Zealand but does not include Tokelau; it also includes any area beyond the territorial sea designated under New Zealand legislation and in accordance with international law as an area in which New Zealand may exercise sovereign rights with respect to natural resources;
UK GDPR means the GDPR, as transposed into United Kingdom national law by operation of section 3 of the European Union (Withdrawal) Act 2018 and as amended by the Data Protection, Privacy and Electronic Communications (Amendments etc.) (EU Exit) Regulations 2019.
Canadian means one of the following: (a) a company or association incorporated or organized under the laws of Canada, or its designated representative(s) irrespective of nationality; (b) an agency of a federal, provincial, or local government in Canada, or its designated representative(s) irrespective of nationality; or (c) a self-representing individual who is a Canadian citizen residing in Canada.
Ringgit Malaysia “RM” The lawful currency of Malaysia.
Canadian Swingline Loan means any Loan made by the Canadian Swingline Lender pursuant to Section 2.12.
Canadian Securities Regulators means the applicable securities commission or securities regulatory authority in each of the Qualifying Jurisdictions;
Foreign Borrowers means, as of any date of determination and individually or collectively (as the context may require), any Borrower not incorporated, formed or organized within the United States, and listed on Schedule A-2 attached hereto.
Canadian Subsidiaries means the Subsidiaries organized under the laws of Canada or any province, territory or other political subdivision thereof.
New Zealand Dollars means the lawful currency of New Zealand.
Malaysia means the territories of the Federation of Malaysia, the territorial waters of Malaysia and the sea-bed and subsoil of the territorial waters, and includes any area extending beyond the limits of the territorial waters of Malaysia, and the sea-bed and subsoil of any such area, which has been or may hereafter be designated under the laws of Malaysia and in accordance with international law as an area over which Malaysia has sovereign rights for the purposes of exploring and exploiting the natural resources, whether living or non-living;
