Ault Financing means the sale and exchange pursuant to which the Company issued or agreed to issue up to a total of $11,132,740 of convertible indebtedness and a warrant to purchase 2 million Common Shares to Ault or its Affiliate(s) in a transaction or series of related transactions which closed on or about December 31, 2022.
