RTHK expressly reserves all its rights to claim for any loss or damage suffered by RTHK as a result of or in connection with the late submission or non-submission of an Audited Report by the Company.
The Company agrees to waive all its rights to claim for any payment, money, cost, disbursement or expense for an Audited Report not submitted to the satisfaction of RTHK on or before the Submission Deadline.
RTHK shall not make any payment under this sub-clause or be responsible for any cost, money, disbursement or expense (if any) incurred by the Company for an Audited Report not submitted to the satisfaction of RTHK on or before the Submission Deadline as and for liquidated damages and not as a penalty for the losses incurred by RTHK arising from the Company's delay or failure to submit the Audited Report.

If the Unaudited Report shows that NeoGenomics’ Unaudited Revenue during the previous Calendar Year is equal to or greater than 90% of the applicable Threshold Amount, then the parties will wait until the Audited Report is issued and the actual Service Revenue, as reported in the Audited Report, will be used for purposes of determining whether Abbott may exercise its rights under Section 3.4(c) or Section 3.4(d), as applicable.
Within ninety (90) days after the end of such Calendar Year during the term of this Agreement, NeoGenomics will provide Abbott with a written report showing its Service Revenue during the previous Calendar Year (the “Audited Report”), but only if the Service Revenue in the Audited Report would differ from NeoGenomics’ Unaudited Revenue as reported in the Unaudited Report.
If Purchaser believes that the Audited Report or the Adjustment Amount is not correct, then Purchaser shall, within such 15-day period, deliver to Sellers and Sellers' Accountants a proposed modification to the Audited Report or the Adjustment Amount in writing setting forth (i) the amount of the proposed modification, (ii) the item or items to which such proposed modification relates, and (iii) the facts and circumstances supporting the reasonableness and propriety of such modification.
